Please read these Terms of Service (“Terms”, “Agreement”) carefully before using the services provided by QUASAR Services, Inc. (“Company”, “we”, “us”, or “our”). By accessing or using our HR outsourcing, training, or consulting services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Who We Are
QUASAR Services, Inc. is a professional HR outsourcing and training services firm offering human resources Outsourcing, staff training and development, recruitment support, payroll services, and related solutions to organizations and individuals.

2. Scope of Services
We provide the following services, which may vary based on your contract:
Human resource outsourcing and management
Staff recruitment and onboarding support
Payroll processing and compliance assistance
Employee training and professional development programs
HR policy drafting, auditing, and consultation
Custom workshops, seminars, and e-learning sessions
Any specific terms related to your project or engagement will be outlined in a separate Service Agreement, Statement of Work (SOW), or Client Contract.
3. Client Responsibilities
Clients are responsible for:
Providing accurate and complete information relevant to services requested
Ensuring internal compliance with labor laws and HR policies
Maintaining confidentiality of shared employee or company data
Using our services for lawful and professional purposes only
Complying with applicable data privacy regulations (e.g., GDPR, HIPAA, etc.)
4. Training Participants
Individuals enrolled in our training services agree to:
Attend scheduled sessions on time
Complete assignments, assessments, or feedback honestly
Not duplicate, record, or distribute training content without written permission
Respect instructors, other participants, and company staff
We reserve the right to remove participants who violate our conduct policies or disrupt training sessions.
5. Fees and Payments
All service fees will be outlined in your contract or invoice.
Payments must be made according to agreed terms (e.g., 30 days net).
Late payments may be subject to interest or suspension of services.
Refunds (if applicable) are handled on a case-by-case basis.
6. Confidentiality
We will maintain the confidentiality of all proprietary and sensitive information you share with us. Similarly, you agree not to disclose any confidential information obtained through our services, including training materials, client processes, or business strategies.
This obligation survives termination of the contract or relationship.
7. Intellectual Property
All materials, documents, training content, presentations, software, and tools provided by us are the intellectual property of QUASAR Services, Inc., unless otherwise stated. You may not copy, reuse, or distribute them without prior written consent.
8. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, or consequential damages.
Our liability is limited to the total amount paid by you for the services within the 12 months preceding the claim.
We are not responsible for any decisions you make based on our advice or services, nor outcomes from employee actions.
9. Termination
Either party may terminate the relationship or contract with written notice in accordance with the agreed notice period. Grounds for immediate termination include:
Breach of contract
Unlawful or unethical conduct
Non-payment of fees
Abuse or misuse of services
Upon termination, all outstanding payments become due, and any proprietary materials must be returned or deleted.
10. Privacy and Data Protection
Our data handling practices are governed by our Privacy Policy. By using our services, you consent to the collection and use of your personal and business data as outlined in that policy.
11. Third-Party Services
We may use third-party tools or platforms to deliver services (e.g., payroll processors, e-learning platforms). While we select these providers carefully, we are not responsible for the privacy practices or service availability of those third parties.
12. Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, such as natural disasters, government actions, labor strikes, internet outages, or pandemics.
13. Governing Law and Jurisdiction
This Agreement is governed by Phillipines laws. Any disputes arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Quezon City.
14. Amendments
We reserve the right to modify or update these Terms at any time. You will be notified of any significant changes via email or website notice. Continued use of our services after such changes constitutes your acceptance of the revised Terms.
